GENERAL POLICIES:
All purchase orders submitted by our distributors are assumed as accepting our general terms as stated herein, and conflicting terms stated on the Purchase Order cannot supersede our terms.

Prices are subject to change without notice. Prices prevailing at the time the order is received will apply. Special Quotations or Special Programming, if valid, must be communicated on the order at time of submittal to Smart Electric USA. All telephone orders must be confirmed to Smart Electric USA via e mail or FAX within 24 hours. Payment Terms: Net 30 days from date of invoice.

SHIPPING TERMS:
Prices are FOB Smart Electric Warehouse Shipping Dock, Medley, FL, or at any remote USA shipping dock used by Smart Electric to fill orders. Title passes directly to purchaser at the moment we place the merchandise into the hands of the carrier. Freight will be prepaid and allowed via the least expensive way to a single destination within the Continental United States using map guidelines below: If purchaser elects to have shipments made to multiple locations, each shipment will need to meet our minimum order Dollar value, for prepaid freight.

LOSS OR DAMAGE:
The Consignee (Customer) must immediately, upon receipt of merchandise, report all claims for losses or damage in the shipment directly to the delivering carrier. Any delay may cause you a loss, or to lose the right to a claim against the carrier. All merchandise is shipped FOB Smart Electric Shipping Dock, therefore the carrier is legally responsible to you for any loss arising out of shipment. Although our responsibility for product ends upon receipt by the carrier, our customer service department will extend whatever assistance is required.
Do not deduct the price of the damaged or lost item from your Smart Electric Invoice. Pay your invoice price in full and submit your claim to the carrier for your loss.

SHORTAGES:
Any shortages on your shipment must be reported within thirty (30) days of the shipping date for proper verification and possible adjustment. All packages are sealed when they leave our warehouse. If the seal is broken when received, report and submit the claim directly to the delivering carrier, immediately on receipt, for your loss.

BACK ORDERS:
Back orders will be shipped as soon as possible. All back orders will be shipped freight prepaid, if the original total order qualified for prepaid freight. Back orders will be acknowledged, with a specified shipping date, within 10 days after the original shipment. Any order that has a back order ship date of over 60 days after the original shipment, will be automatically cancelled, unless instructed by the customer in writing. No additions to back orders will be accepted.
